Reallusion AI Service EULA (End-User License Agreement)

IMPORTANT-READ CAREFULLY: This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, hereinafter "Licensee" or "You") and Reallusion Inc. ("Reallusion" or "Company") for the Reallusion AI-powered services provided by Reallusion (collectively, the “AI Service”). The AI Service includes, but is not limited to, the "Reallusion AI Studio" platform, as well as associated software, media, cloud processing, APIs, and electronic documentation.


This EULA is a supplemental agreement to the Reallusion AP EULA and Reallusion Content EULA. By accessing the AI Service, You agree to be bound by this EULA. If You do not agree, do not access or use the AI Service.

  1. DEFINITIONS
    1. AI Service: Refers to all artificial intelligence-powered features and cloud platforms provided by Reallusion (including but not limited to AI video mocap, character generation, and image, video, and 3D generative pipelines).
    2. Input: Means any text prompts, images, video, audio, motion data, 3D assets, or other materials provided or uploaded by You to the AI Service.
    3. Output: Means any media assets, data, or content—including but not limited to images, videos, audio, 3D motions, and 3D models—generated, produced, or exported by the AI Service.
    4. User Content: Combination of User Input and User Output.
    5. AI Actor (.iModel): Refers to Reallusion’s proprietary, AI file format and associated data structures designed to maintain visual character, prop, scene and all forms of data made with AI Actors (.iModel) to be used to achieve consistency across Outputs. An AI Actor (.iModel) is generated within the AI Service through the processing of various categories of Input including, but not limited to images and photos and its usage rights are strictly determined by the nature of such Input as set forth in Section 4.4.
    6. Embedded Content: Refers to any built-in assets, AI Actors (.iModel), or integrated features provided within the AI Service platform.
    7. Reallusion Stores: Refers to the Reallusion Content Store, Marketplace and ActorCore.
    8. Subscription Plan: Refers to the specific tier of service (Free, Starter, Standard, or Pro) selected by You, as detailed on the Reallusion AI Cloud Pricing Page.
  2. ELIGIBILITY AND ACCOUNT
    1. Eligibility: You must be at least 18 years of age to create an account on this Service. By using the Service, You represent that You meet this requirement.
      A. Individuals under the age of 13, or any minimum age required by the laws of their jurisdiction are not permitted to use the Services.
      B. If you have reached the minimum age but have not yet reached the age of majority as defined by the laws of your jurisdiction, you may only access and register for a Reallusion Account on the websites and/or applications with the involvement and consent of your parent or legal guardian. By permitting such use, your parent or legal guardian agrees to be bound by this agreement on your behalf.
      C. Where applicable laws and regulations require parental consent or authorization, you must provide verifiable evidence of such consent or authorization to Reallusion. This includes, where required, confirmation from the individual holding parental responsibility for the minor.
    2. Registration: To access the Service, You must create an account. You agree to provide accurate information and maintain the security of your credentials. You are solely responsible for all activities occurring under your account.
    3. Account Rights: Reallusion retains all rights in and to the account infrastructure. You may not transfer, sell, or share your account with any third party.
  3. SUBSCRIPTION TIERS AND USAGE RIGHTS
    1. Licensing and Fees: The scope of your license, commercial usage rights, and billing standards are strictly determined by your active Subscription Plan.
    2. Output Usage: Usage rights for Outputs (including those generated from converted Developer Assets) are determined by your subscription tier at the time of generation.
      A. Free Plan: For testing and evaluation purposes only.
      B. Starter Plan: Personal and social media use granted; non-commercial use only.
      C. Standard Plan: Commercial use granted.
      D. Pro Plan: Commercial use granted, Project Sharing and Collaboration.
    3. Testing and Evaluation Use: Use limited to a test of the features for your evaluation. The Output is not permitted to be used for any purpose.
    4. Personal and Social Media Use: Use limited to personal sharing and social media display only as non-commercial posts. Output may not be used to promote a business, service, or brand. Output is not permitted for resale.
    5. Commercial Use: Output intended for professional use, delivery to a client as part of subcontracted work, or to promote a business, brand, or service.
    6. Non-Commercial Use: Output is permitted for only use that does not promote a business, service, or brand and may not be used for delivery to a client as part of subcontracted work.
    7. Collaboration: Workgroup where you may share projects, AI Actors (.iModel) and Content within a group of other AI Service members you invite to collaborate on projects.
    8. IP Owned: All IP owned by you remains yours. All IP owned by Reallusion and Marketplace Developers remains the original owner’s IP. If you generate an AI Actor (.iModel) from your owned custom Input then you retain the right to this IP and also own the AI Actor (.iModel) created with your IP during the active subscription period.
    9. Reallusion reserves the right to modify, rename, or discontinue subscription tiers and their associated features and the EULA at any time without notice.
  4. RIGHTS AND RESPONSIBILITY
    1. Input: You retain all legal rights to Your Input. You represent that You have all necessary legal rights and permissions to provide the Input to the AI Service.
      A. You acknowledge that any information, data, text, software, music, sound, photographs, graphics, video, messages, tags and/or other materials accessible through the Service (collectively, “Content”), is the sole responsibility of the party from whom such Content originated. This means that you, and not Company, are entirely responsible for all Content that you upload, post, email, transmit or otherwise input or make available (“Make Available”) through the Service (“Your Content”), and that other users of the Service, and not Company, are similarly responsible for all Content that they Make Available through the Service (“User Content”).
      B. Inappropriate Input. Furthermore, Your Input may not contain nudity, biometric data, violence, be sexually explicit, harmful, hateful, harassing, or offensive as determined by Company in its sole discretion. You may not upload or Make Available an image of another person without that person’s permission or otherwise sufficient rights to do so. The rights granted to you in this Agreement are subject to your compliance with the restrictions set forth in this section. Any unauthorized use of the Service terminates the licenses granted by Company pursuant to this Agreement.
      C. You retain ownership of any content, including videos, text, images, or other materials, that you upload or generate using the Service. You are solely responsible for the User Content you create, upload, publish, or share through the Service.
    2. Output: Subject to Section 3.2, Reallusion grants You the right to use the Output. Reallusion claims no ownership in the Output, provided that such Output does not contain or constitute a derivative of Reallusion’s pre-existing protected assets.
    3. User Content Restrictions: You agree not to upload, generate, or share any User Content that:
      A. Is misleading, false, or inaccurate.
      B. Violates any applicable laws or regulations.
      C. Content that depicts or promotes pornography, excessive violence, terrorism, extremist activities, or sensitive political campaigning and materials prohibited by applicable laws.
      D. Engages in unauthorized face-swapping.
      E. Infringes on the intellectual property rights of others (including but not limited to film and television, animation, game characters, trademarks, and more).
      F. Includes any unsolicited promotions, political campaigning or solicitations.
      G. Shares personal details of others without their explicit consent.
      H. Discloses information you are not authorized to share due to legal, contractual or fiduciary obligations.
      I. Could endanger or exploit children by exposing them to inappropriate content.
      J. Contains any form of malware, viruses, or other harmful code.
      K. Contains explicit sexual material or themes.
      L. Is deemed, in our sole judgment, inappropriate or disruptive to other users' experience, or poses potential harm or liability to us or others.
    4. Usage Rights and Classifications of AI Actors (.iModel): The right to use an AI Actor (.iModel) is determined by the nature of the Input used for its creation. All AI Actors (.iModel) are system-locked within the AI Service and are non-exportable.
      A. Third-Party IP AI Actors (.iModel): If an AI Actor (.iModel) is created using Input featuring third-party intellectual property or famous likenesses, the Licensee acknowledges that no rights, title, or interest are granted.
      B. Reallusion Developer or Reallusion-Owned AI Actors (.iModel): For AI Actors (.iModel) provided as built-in assets or derived from Reallusion’s proprietary library, or acquired from Reallusion Stores:
      (A) Usage is governed by the Reallusion Content EULA.
      (B) You may use in Output, but you cannot claim the ownership of the AI Actor (.iModel), or the likeness, share the file or sell the file as an AI Actor (.iModel) or the contained Input.
      (C) These assets may not be removed or exported from the AI Service environment, or repurposed for other models for services outside of Reallusion AI Services.
      (D) Termination of Rights: Your right to use Reallusion Developers’ or Reallusion-Owned AI Actors (.iModel) is connected to Your active subscription. Upon termination or expiration of the AI Service, all rights to use or invoke such AI Actors (.iModel) are immediately revoked.
      C. User-Generated AI Actors (.iModel): For AI Actors (.iModel) created using the Licensee’s original and self-created Input:
      (A) The Licensee retains the rights in and to the unique visual identity created.
      (B) Usage rights (including Commercial Use) are determined by the Licensee’s active Subscription Plan.
      (C) Licensee represents and warrants that they possess all necessary rights for the Input used to create such AI Actors (.iModel). AI Actor (.iModel) creation must follow the Input guidelines in 4.1.
    5. Reallusion’s Stores Integration: Listing AI Actors (.iModel) on the Reallusion’s Stores is subject to the separate Reallusion Developer Agreement. Reallusion may require a specific Plan for such monetization features.
  5. USER CONTENT AND PRIVACY SETTINGS
    1. Public Visibility: You acknowledge and agree that for Free Plan users, all Output is Public by Default and shall be displayed in the Reallusion AI Gallery, Explore feeds, or other community features. Users under the Free Plan have no option to restrict the visibility of their Content or set it to "Private".
    2. Private Mode: The right and technical ability to set Content to "Private" (restricting visibility exclusively to the Licensee) is a premium privilege available only to Paid Subscribers.
    3. Marketing and Development License: For any Content set to "Public", You grant Reallusion a perpetual, worldwide, royalty-free license to use, reproduce, and display such Content for:
      A. Promotion: Display and Distribute: Publicly display, reproduce, and distribute such Content in the Reallusion AI Gallery and across any Reallusion marketing channels; and
      B. AI Improvement: Use such Content for testing, optimizing, and training Reallusion’s artificial intelligence models and machine learning systems.
    4. Protection of Private Content: Reallusion agrees not to display or use any Content set to "Private" for the purposes described in Section 5.3 without Your explicit prior written consent.
  6. PLATFORM EXCLUSIVITY AND RESTRICTIONS
    1. Exclusive Environment: AI Actors (.iModel, including converted Developer Assets and UGC) are licensed for use exclusively within the Reallusion AI Service environment. You are strictly prohibited from transferring, copying, or distributing AI Actors (.iModel) to any third-party platforms.
    2. Reallusion’s Stores Listing: AI Actors (.iModel) may only be published or sold via the Reallusion’s Stores, subject to the Reallusion Developer Agreement.
    3. No External Profit: Licensee shall not use any Embedded Content for revenue-generating activities outside of the Reallusion platform.
    4. Anti-Model Extraction: Licensee shall not use the AI Service or Output to develop, train, or optimize any AI models that compete with Reallusion’s products.
  7. DISCLAIMER OF WARRANTIES
    1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AI SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". Reallusion does not warrant that the AI Service will be error-free or that the Output will be accurate, consistent, or meet your specific requirements. You acknowledge that AI-generated content may contain inaccuracies or "hallucinations" (erroneous AI generations). You are solely responsible for validating Outputs and ensuring their suitability for your intended use.
    2. THIRD-PARTY PROVIDERS
      A. You acknowledge that certain components of Reallusion AI Service and certain content and services made available through the Services (other than content provided by other users) may be provided, maintained, or operated by third parties and not by Company. By using the Services, you acknowledge and agree that the Company is not responsible for reviewing, monitoring, or evaluating the content, accuracy, completeness, availability, timeliness, validity, copyright compliance, legality, decency, or quality of any such third-party content or services.
      B. The company makes no representations or warranties regarding the quality, reliability, or suitability of any third-party content or services made available, advertised, or linked through Reallusion AI Studio, and assumes no responsibility for your access to, use of, or interaction with such third-party offerings. You agree that all access to and use of third-party content and services is at your own risk. Where applicable, your use of third-party services is subject to their respective terms and conditions.
      C. You agree that the Company shall not be liable for any loss or damage of any kind arising from or relating to any dealings, communications, or transactions solely between you and any third party.
      D. Subject to Company’s Privacy Policy, Company may, from time to time, integrate or make available third-party developer tools or technologies to support or enhance features, functionality, or operations of Reallusion AI Service, in accordance with this Agreement.
  8. INFRINGEMENT AND ENFORCEMENT
    1. Moderation: Without limiting the foregoing, Company reserves the right, in its sole discretion, to:
      A. Remove or refuse to process or post any of Your Input or Output for any or no reason;
      B. Take any action with respect to Your Input or Output deemed necessary or appropriate, including where such Input or Output is believed to violate this Agreement, infringe any intellectual property or other rights, threaten users or the public, or create liability for Company;
      C. Disclose your identity or other information to any third party claiming that material posted by you violates their rights;
      D. Take appropriate legal action, including without limitation referral to and cooperation with law enforcement, for any allegedly illegal or unauthorized use of the Service or where Company believes criminal activity has occurred; and/or has been reported.
      E. Terminate or suspend your access to all or part of the Service for any or no reason, including any violation of this Agreement.
      F. Company may, without prior notice, terminate your license to use the Service and/or change, alter, or remove Your Input or Output, in whole or in part, upon determining any possible violation of this Agreement.
    2. Detection and Reporting: Reallusion employs system monitoring for infringing content. Claims of infringement may be handled via Reallusion’s Content Infringement Policy.
    3. Disciplinary Actions: If infringement or a violation of these Terms is detected, Reallusion reserves the right to:
      A. Remove the infringing Content;
      B. Freeze or suspend the Licensee’s account;
      C. Terminate the Service immediately without refund; and
      D. Pursue legal action for damages.
  9. UPDATES
    1. You understand that the Service is evolving. As a result, the Company may require you to install updates to any software that you have installed on the devices through which you access or use the Service (“Device”). You acknowledge and agree that the Company may update the Service with or without notifying you. You may need to update third-party software from time to time in order to continue to use the Service. Any future release, update or other addition to the Service shall be subject to this Agreement.
    2. This document is subject to update at the sole discretion of Reallusion.
  10. LIMITATION OF LIABILITY
      IN NO EVENT SHALL REALLUSION BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER.
  11. INDEMNIFICATION
      You agree to defend and indemnify Reallusion against any claims, damages, or expenses (including legal fees) arising from Your Content, Your violation of these Terms, or Your unauthorized commercial use of Output.
  12. TERMINATION
      This EULA remains effective until terminated. Your right to use the AI Service and Output is tied to your subscription status. Upon termination for breach, you must cease all use of the Service and associated Content.
  13. GOVERNING LAW
      This EULA shall be governed by and construed in accordance with the laws of the State of California.
