Reallusion Software EULA (End-User License Agreement)

The following End User License Agreement (“EULA”) governs your use of all products, including any associated software upgrades, patches, updates, and related services, that are currently provided or may be provided in the future by Reallusion or any of its subsidiaries or affiliated companies, without limitation.


IMPORTANT: THIS REALLUSION END USER LICENSE AGREEMENT (“EULA”) FOR ANIMATION TOOLS IS A LEGAL AGREEMENT BETWEEN YOU AND REALLUSION, INC. ("REALLUSION”). READ IT CAREFULLY BEFORE PURCHASING, SUBSCRIBING, DOWNLOADING, INSTALLING OR USING THE SOFTWARE. IT PROVIDES A LICENSE TO USE THE SOFTWARE AND CONTAINS WARRANTY INFORMATION AND LIABILITY DISCLAIMERS. BY INSTALLING OR USING ANY OF THE SOFTWARE, YOU ARE CONFIRMING YOU ACCEPTANCE OF THE SOFTWARE AND AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, THEN DO NOT PURCHASE, SUBSCRIBE, DOWNLOAD, INSTALL OR USE THE SOFTWARE.

  1. Definitions
      The terms in this section shall have the meanings described below, and other terms may be defined within the context of this EULA.
    1. “Licensee”, “you”, or “user” means the acquirer of the license rights granted by this Agreement. If you are an individual working solely on your own behalf, then you are the Licensee. If you are an employee acting on behalf of your employer, then your employer is the Licensee and you represent that you are authorized to accept the terms of this Agreement on behalf of your employer.
    2. "Software" means the Reallusion software program(s) and any third-party software programs supplied by Reallusion, and/or all their respective Plug-ins, and any corresponding documentation, associated media, materials, and online or electronic contents.
    3. “Original Character Creation” refers to a character created entirely from an original design, without using any content from Reallusion or its developers, including models, morphs, textures, hair, and outfit assets.
    4. “CC Avatar” means the avatar of Character Creator’s component content, which can be used in the Character Creator to compose, assemble, modify.
    5. “Third-Party Services” means any third-party services, applications, plug-ins, or software components integrated with or accessible through the Software, which are provided and operated by independent third-party providers, and not by Reallusion.
    6. “Subscription” means a Subscription License where the User receives a time-limited, remunerable, non-exclusive, non-transferable, non-sublicensable and personalized (“Named User”) right to install the Software on any number of devices, and to use the Software on one (1) single device, but not on different devices concurrently.
    7. “(Software) Update” means a modification, bug fix, patch, or minor version release to the Software within the same major version series (e.g., version 8.1 to 8.2). Updates are generally provided to maintain or slightly enhance the performance and stability of the Software.
    8. “(Software) Upgrade” means a major new version of the Software that introduces significant new features or substantial improvements in functionality (e.g., moving from version 4 to version 5). Upgrades typically involve a change in the primary version number.
    9. “Content” or “Assets” means any digital assets, including but not limited to 3D models, characters, motions, textures, props, and materials, whether provided with the Software or acquired separately from Reallusion’s stores.
    10. “Content EULA” refers to the Reallusion Content End User License Agreement, which specifically governs the usage, export, and distribution rights of Content. The Content EULA can be found at: https://www.reallusion.com/Content/EULA/EULA.htm
  2. Grant of License
    1. For Reallusion Software purchased under a perpetual license or used under an active subscription license, Reallusion grants you:
      A. A non-exclusive, non-sublicensable, non-transferable, revocable right to use the Software to generate images, videos, avatars, models, and/or animations. Reallusion also grants you a non-exclusive, royalty-free license to display any images or videos generated with the Software.
      B. The right to export generated models and/or animations to external software and include them in your games, applications, web services, or other interactive projects.
    2. You may sell or redistribute images and videos created with properly licensed Reallusion Software, with full ownership and usage rights. You may also sell or distribute models and/or animation assets only when embedded within games, applications, interactive projects, or in 3D print format, provided such use does not infringe the Character Creator Base Model License (Section 5) or Reallusion’s content usage rights.
    3. Subscription License:
      For Software offered on a subscription basis (as described on the Reallusion Software Store Subscription License pages), Reallusion grants you a time-limited right to use the Software in accordance with the Subscription definition in Section 1.6 and the following terms:
      A. Reallusion will provide generally available software updates and upgrades during the subscription term.
      B. Subscriptions are billed in advance and will automatically renew for the same term unless Reallusion terminates or cancels the subscription prior to the end of the current term.
      C. Upon expiration or termination, your right to use the Software will automatically cease. Subscription fees are non-refundable except as required by law.
      D. Expiration or termination of a subscription does not affect your ownership of images, videos, or other outputs lawfully generated during an active subscription period.
      E. Subscription upgrade options are available as specified in the Reallusion Store FAQ.
    4. All rights relating to the use of Reallusion content assets are governed by the Reallusion Content License Policy and the Content EULA.
    5. This Software EULA governs your use of the Software as a tool. Any content used within or exported from the Software is subject to the terms of the Content EULA. While this Agreement grants you the right to generate outputs with the Software, your rights to use, sell, or distribute specific Reallusion content assets contained within those outputs are strictly governed by the Content EULA.
  3. Restrictions
    1. The Software may only be used on ONE (1) computer at any one time. For use on more than one computer at a time or for use and/or storage on a network designed for more than one user, you must purchase an additional license per/computer or acquire a special multi-user license from Reallusion.
    2. The Software may not be used in an illegal or otherwise unlawful manner.
    3. You may not copy, rent, lease, sell, distribute, transfer or sublicense the Software, in whole or in part.
    4. You agree not to modify, alter, translate, reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of the Software.
    5. Any use of any Reallusion logos or trademarks must be approved by Reallusion.
    6. You acknowledge and agree that any content assets in Reallusion proprietary formats are only allowed to be sold, distributed, and published in Reallusion's stores (Content Store, Marketplace, and ActorCore) and are not allowed to be sold, distributed, and published in any third-party marketplaces. The usage and licensing of such assets are further subject to the Reallusion Content EULA as defined in Section 1.10.
  4. Ownership
      Reallusion or its licensors retain all copyright and proprietary rights in and to the Software. The structure, organization, and code of the Software constitute valuable trade secrets of Reallusion and its licensors. The Software is also protected under Taiwan and United States copyright laws, as well as applicable international treaties.
  5. Character Creator Base Model License
      The unique topology and character rigs of CC Avatar that generated from Character Creator’s Base Model are the property of Reallusion.
    1. Reallusion grants you a perpetual, non-exclusive, non-sublicensable, revocable, nontransferable right to use CC Avatar to generate your Original Character Creations.
    2. You may sell, distribute, and publish your Original Character Creations for any commercial use, including but not limited to image/video outputs, games, XR, interactive online services, and 3D printing, without limitation, except for the following restrictions:
      A. Use in any character generation system.
      B. Use for AI training, machine learning, or synthetic data generation purpose.
      C. Use in any character-generating business.
      D. Selling the 3D model created from Character Creator’s Base Model as a content asset in any third-party marketplace, regardless of file format.
    3. If the CC Avatar is not your original creation, or if you do not have the license or permission from the original creators—including Reallusion or other developers’ content assets—you may not sell, distribute, or publish the CC Avatar in any content marketplace or for any commercial use, including but not limited to image/video outputs, games, XR, interactive online services, and 3D printing.
  6. Education License
      The Education License is provided solely for non-commercial educational use. Usage is subject to the following terms:
    1. Eligible Users:
      Only the following may apply for an Education License:
      A. Accredited academic institutions.
      B. Faculty and staff of such institutions.
      C. Currently enrolled students.
    2. Permitted Uses:
      A. Teaching, learning, academic research.
      B. Non-commercial student work or academic publishing.
      C. Creation of original datasets using the Software for AI-related purposes, provided no Reallusion-owned content assets are included.
    3. Prohibited Uses:
      A. Any commercial, professional, or revenue-generating activity.
      B. Use of Reallusion content assets (e.g., characters, motions, materials) in AI training or synthetic data generation.
      C. Transfer or sublicense of the Software to others, including studios or contractors.
    4. Termination:
      Violation of these terms may result in immediate termination of the license without refund.
  7. Third-Party Services and Plugins
    1. The Software may include access to or integration with third-party services, applications, or plugins (“Third-Party Services”). Your use of such Third-Party Services is subject to the applicable terms and conditions of the respective third-party providers.
    2. Reallusion makes no representations or warranties regarding, and expressly disclaims any responsibility or liability for, Third-Party Services, including their availability, accuracy, functionality, or data processing practices. Any data transmitted to Third-Party Services is governed by the privacy policy of the third-party provider.
  8. LIMITED WARRANTY AND DISCLAIMER
    1. REALLUSION AND ITS LICENSORS DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. REALLUSION DOES NOT WARRANT THAT THE SOFTWARE IS ERROR-FREE OR WILL OPERATE WITHOUT INTERRUPTION.
    2. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SOFTWARE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF DELIVERY OR PURCHASE.
    3. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY PURCHASE, ITS DEALERS, DISTRIBUTORS, AFFILIATES, AGENTS OR EMPLOYEES SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF ANY WARRANTY PROVIDED HEREIN.
  9. Usage Data
      To help Reallusion improve the Software quality while providing you with a more optimized experience, some usage data may be collected and sent back to Reallusion for general analysis. Reallusion takes privacy seriously and works to protect you from unauthorized access, alteration, disclosure, or destruction of your personal data. By using the Software, you grant permission for Reallusion to collect and use information as described in the Reallusion Privacy Policy:

  10. Modification
      Reallusion reserves the right to modify these Terms from time to time without prior notice. All changes are effective immediately. Please check these Terms periodically. Unless otherwise noted, your continued use of the Software or Services constitutes acceptance of the amended Terms. The most current version of these Terms supersedes all previous versions.
  11. Governing Law
      This EULA is governed by the laws of the State of California, except that federal and international law govern copyrights, patents, and registered trademarks.
  12. Severability
      If any provision of this EULA is found to be invalid or unenforceable by a court with appropriate jurisdiction, that provision will be deemed null and void and will not affect the validity of any other provision of this EULA.
